Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BizAI hardware appliance, software, and services (collectively, the "Service") provided by Prizmox ("we," "us," "our"). By placing a reservation, completing a purchase, or using the Service, you agree to these Terms.

1. Reservations and Pre-orders

A reservation places you on the wait list for a future production batch. It is not a binding sale, does not create a payment obligation, and does not guarantee a unit. Reservations may be canceled at any time before payment is collected.

2. Hardware Purchase

The BizAI appliance is sold as a one-time purchase. The price stated at checkout is the full price for the hardware. Title and risk of loss pass to you on delivery to the carrier. We provide a 30-day unconditional money-back guarantee from the date of delivery, with no restocking fee.

3. Cloud Routing and Recurring Costs

• The BizAI appliance routes complex AI tasks to third-party cloud LLM providers (e.g., OpenAI, Anthropic, Google, Mistral).
• You may use your own API keys ("BYO keys"), in which case you pay the model provider directly. We charge no markup.
• We may offer optional metered billing plans where we facilitate the cloud routing and bill you at cost or at a clearly disclosed rate. You may opt out at any time.
• Monthly budget caps are enforced by the appliance. We are not responsible for cloud charges incurred under your own API keys.

4. Software License

The BizAI software, including the OpenClaw agent stack as bundled, is licensed to you for use on your BizAI hardware. You receive a perpetual, non-exclusive, non-transferable license to operate the software on the appliance. You may not redistribute, resell, or reverse-engineer commercial components.

5. Customer Data

Customer records, photos, conversation history, and business context stored on the appliance remain your property. We do not access this data. Backups are user-elected and encrypted at the user's direction.

6. Acceptable Use

• You may not use the Service for unlawful purposes, fraud, harassment, or to violate third-party rights.
• You may not use the appliance to operate or facilitate services that violate applicable AI provider terms.
• You may not modify the hardware in ways that introduce safety hazards.

7. Warranty

Hardware is warranted against manufacturing defects for 24 months from the date of delivery. The warranty does not cover damage from misuse, modification, or normal wear. To claim warranty, contact support with your order details.

8. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the amount you paid for the hardware. We are not liable for indirect, incidental, or consequential damages, including loss of profits, business interruption, or data loss not caused by our gross negligence.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access to optional cloud routing or update services if you materially breach these Terms. Termination of services does not affect your ownership of the hardware or your customer data.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the appliance. Continued use after the update constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which Prizmox is incorporated, without regard to conflict of law principles.
